Terms of Business
- Introduction
These terms and conditions govern the provision of IT support and services by Nerds Online Ltd (referred to as “the Company”, “we”, “us”, or “our”). By engaging our services, you agree to be bound by these terms and conditions.
- Definitions
“Client” refers to any individual or entity engaging the IT support and services of Nerds Online Ltd.
“Services” refers to any IT support, solutions, onsite visits, or remote support provided by Nerds Online Ltd.
- Service Provision
We agree to provide the IT support and services outlined in the agreement between Nerds Online Ltd and the Client.
Services may include but are not limited to, onsite visits, remote support, hardware installation, software configuration, troubleshooting, and maintenance.
We will deliver services with reasonable skill and care and within agreed-upon timelines, unless circumstances beyond our control prevent us from doing so.
- Payment Terms
Payment for services provided by Nerds Online Ltd is due as outlined in the agreement between the Client and the Company.
Late payments may incur interest charges at a rate of 8% per month on the outstanding balance.
All prices quoted are exclusive of VAT unless otherwise stated.
- Intellectual Property
Any intellectual property created during the provision of services shall remain the property of Nerds Online Ltd until full payment has been received from the Client.
Upon full payment, all rights to any intellectual property created will transfer to the Client, unless otherwise specified in the agreement.
- Confidentiality
Both parties agree to keep confidential any information disclosed during the provision of IT support and services.
This confidentiality clause shall survive termination of any agreement between Nerds Online Ltd and the Client.
- Liability
Nerds Online Ltd shall not be liable for any indirect, consequential, or incidental damages arising from the provision of IT support and services.
Our liability shall be limited to the amount paid by the Client for the services rendered.
- Termination
Either party may terminate the agreement by providing written notice to the other party.
In the event of termination, the Client shall pay for all services provided up to the date of termination.
- Governing Law
These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales.
- Amendments
Nerds Online Ltd reserves the right to amend these terms and conditions at any time. Any amendments will be notified to the Client in writing.
By engaging our IT support and services, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
